Terms & Conditions

ESTIMATES

InsideOut Consulting may provide Clients with initial estimates, also called quotations or proposals, for projects on request. Estimates are valid for 1 month. Acceptance by a Client of an InsideOut Consulting estimate is subject to acceptance of the terms and conditions unless specifically agreed in writing between the Client and InsideOut Consulting to the contrary. Errors in literature, estimates, price lists or invoices of InsideOut Consulting are subject to correction without liability on the part of InsideOut Consulting. The Client is responsible for ensuring the accuracy of the terms of any order.

ADDITIONAL COSTS

Additional work requested outside the scope of the original estimate will be charged extra as will bought in services required to complete the project, such as photography, stock images, print, illustrations etc. Unless specified in the Contract, the Client will be liable to InsideOut Consulting for reasonable out-of-pocket expenses incurred in the fulfilling of our contract with you including travel, accommodation which will be documented and charged at rates approved by the Irish Revenue department.

ACCEPTANCE OF WORK

Quotations are valid for 1 month from date of issue and cover services outlined in our contract with you. Alterations to work or additional work that goes beyond initial specifications InsideOut Consulting will be charged for additionally to the original contract. If additional work is accepted by InsideOut Consulting this may affect timescale and overall delivery time of the project.

PROJECT TERMS

InsideOut Consulting will endeavour to complete work at agreed dates, but time of completion shall not be the essence of the Contract. Any delay in the completion of a project will be communicated to the Client in writing via email. InsideOut Consulting will not accept liability to the Client for unforeseen delays in completing a project.

PERMISSION AND COPYRIGHT

Client hereby agrees that all media and content made available to InsideOut Consulting for use in the project are either owned by the Client or used with full permission of the original authors. InsideOut Consulting will not be liable for any copyright infringements committed by the Client. Client agrees that InsideOut Consulting reserves the right to include any work done for the Client in our portfolio of work.

MATERIAL

InsideOut Consulting reserves the right to refuse to handle:

a) Any media which is unlawful or inappropriate;

b) Any media which contains a virus or hostile program;

c) Any media which constitutes harassment, racism, violence, obscenity, harmful intent or spamming;

d) Any media which constitutes a criminal offence, infringes privacy or copyright;

e) Any other questionable media at InsideOut Consulting’s own discretion.

PROJECTS

The Client agrees to provide InsideOut Consulting with all the necessary information in good time it requires to progress the project in a reasonable timescale. For websites and apps, after completion, a Client or a third party of their choosing may wish to edit and update their code. The Client agrees that, in so doing, they assume full responsibility for any issues which occur as a result of changing the code themselves. If this results in functionality errors or the page displaying incorrectly, then InsideOut Consulting reserves the right to quote for work to repair the website. InsideOut Consulting reserves the right to assign subcontractors in whole or as part of a project if needed. Client agrees that it is their responsibility to have regular backups of their website and software made by themselves or third party services in case of a software or hardware failure.

PAYMENT TERMS

All prices quoted are exclusive of VAT. Invoices are to be paid in accordance with the terms in the quotation agreed for each project. All invoices must be paid in full prior to handover of any artwork files or uploading of website files. InsideOut Consulting reserves the right to decline further work on a project if there are invoices outstanding with the Client. Client may request the cancelation of a project in writing to InsideOut Consulting. If InsideOut Consulting has begun or completed the work, the Client is still obliged to pay InsideOut Consulting for the work that has been carried out.

LIABILITY & WARRANTY DISCLAIMER

InsideOut Consulting creates designs, website and other work, and the contents thereof, on an ‘as is’ basis and makes no warranties with regard to contents, or fitness of services offered for a particular purpose. InsideOut Consulting cannot guarantee the functionality or operations of its websites, apps etc or that they will be uninterrupted or error free, nor does it warrant that the contents are current, accurate or complete. InsideOut Consulting endeavours to work within given delivery timescales to the best of its ability. However, the Client agrees that InsideOut Consulting is not liable for any claims, losses, costs incurred or compensation due to any failure to carry out services within a given delivery timescale. The Client agrees InsideOut Consulting is not liable for absence of service as a result of illness or holiday. The Client agrees InsideOut Consulting is not liable for any failure to carry out services for reasons beyond its control including but not limited to acts of God, telecommunication problems, software failure, hardware failure, third party interference, Government, emergency on major scale or any social disturbance of extreme nature such as industrial strike, riot, terrorism and war or any act or omission of any third party services. InsideOut Consulting is not liable for any consequences or financial losses such as, but not limited to, loss of business, profit, revenue, contract, data or potential savings, relating to services provided. On handover of files from InsideOut Consulting to Client, the Client shall assume entire responsibility in ensuring that all files are functioning correctly before use. While every effort is made to make sure files are error free, InsideOut Consulting cannot guarantee they will be error free. InsideOut Consulting shall have no liability to the Client or any third parties for any damages, including but not limited to claims, losses, lost profits, lost savings, or other incidental, consequential, or special damages arising out of the operation.

3RD PARTY SERVICES

InsideOut Consulting may offer to Clients third party services such as those offered by Google to enhance the performance of their websites. InsideOut Consulting may include in quotations the setup and maintenance of such third party services. InsideOut Consulting will not be liable to the Client for any interruption, non-performance, or cancellation of the provision by third parties of any such services.

NONDISCLOSURE

InsideOut Consulting and any third party associates agrees that, except if directed by the Client, it will not at any time during or after the term of this agreement disclose any confidential information. Likewise, the Client agrees that it will not convey any confidential information about InsideOut Consulting to another party.

BREACH

In the event that the Client does not pay an invoice within the time frame allocated in the invoice or does not adhere to the Terms & Conditions, then InsideOut Consulting has the right to terminate the project or suspend all further works for that Client until such time as payment is made in full. In the event that the Client becomes insolvent or goes into liquidation InsideOut Consulting have the right to immediately terminate their contract with the Client and invoice for the full value of project works carried out to that date, plus suspend any email or hosting services.

We will be friendly, courteous and helpful when contacted, make everything clear, keeping jargon to a minimum and respond to your phone calls, emails and letters in a timely manner. We treat all clients fairly and with confidentiality.

What we expect of our clients

We expect our clients to provide any information that has been requested within agreed timescales, pay all invoices within the payment terms defined in our agreement, and let us know in advance if you are unable to do this, or if your circumstances change.

Improving our services

We always look out for ways to improve our high level of client service and welcome any constructive comments that you may have, either complimentary or critical.
